Lâu nay, rất nhiều người vẫn nhầm tưởng rằng doanh nghiệp và công ty là một chỉ khác nhau ở tên gọi nhưng trên thực tế nghĩa của 2 này không giống nhau.
Nói về bản chất, công ty là một tập con của doanh nghiệp nhưng vì thói quen và nhầm lẫn nên người dùng vẫn thường lẫn lộn có khi sử dụng cả 2 từ để chỉ chung một tổ chức kinh doanh tư nhân hoặc nhà nước.

Doanh nghiệp và công ty khác nhau không nhiều nên chúng ta vẫn sử dụng vô tội vạ hàng ngày. Hơn nữa, chúng ta rất thích dùng đa dạng từ ngữ, từ đồng âm trái nghĩa để mô tả một sự vật sự việc nào đó nên vô tình ảnh hưởng đến ý nghĩa của từ ngữ.
Vậy định nghĩa chính xác doanh nghiệp và công ty là gì?
Doanh nghiệp là tổ chức kinh tế có tên riêng, có tài sản, có trụ sở giao dịch ổn định, được đăng ký kinh doanh theo quy định của pháp luật nhằm mục đích thực hiện các hoạt động kinh doanh.
Công ty chỉ là tập con của doanh nghiệp. Nói đến doanh nghiệp là nói đến tập hợp những công ty có đặc điểm chung như: Doanh nghiệp Tư nhân, Doanh nghiệp Nhà nước,…
Doanh nghiệp gồm 5 hình thức
– Công ty Trách nhiệm Hữu hạn: với số thành viên thấp nhất là 2 người và cao nhất là 50 người, không được quyền phát hành cổ phần
– Hộ kinh doanh.
– Công ty Cổ phần: số thành viên ít nhất là 3, cao nhất không giới hạn, được quyền phát hành cổ phần.
– Công ty Hợp danh: có ít nhất 2 thành viên, buộc phải là cá nhân, không được quyền phát hành cổ phần.
– Doanh nghiệp tư nhân: do một cá nhân làm chủ, chịu trách nhiệm bằng toàn bộ tài sản, mỗi cá nhân chỉ được lập duy nhất một doanh nghiệp tư nhân.
Công ty là một loại hình doanh nghiệp có các đặc điểm cơ bản:
– Là một pháp nhân.
– Tách biệt và là chủ thể pháp lý độc lập với chủ sở hữu.
– Trách nhiệm hữu hạn của chủ sở hữu với công ty.
– Cổ phần hay phần vốn góp là chuyển nhượng được.
– Quản lý tập trung và thống nhất.
Theo những phân tích đánh giá thì thì trong 5 loại hình doanh nghiệp chỉ có công ty TNHH và công ty Cổ phần là được gọi là công ty còn hộ kinh doanh, doanh nghiệp tư vấn và công ty hợp danh không phải là công ty.
Như vậy có thể khẳng định rằng, bạn nên dùng từ doanh nghiệp khi muốn chỉ chung chung tất cả các công ty còn nói đến công ty là nhắc tới công ty TNHH và công ty cổ phần.
